Draft — to be reviewed by Siridhaniya before publishing

This text is a working draft and is not yet in force. Highlighted items still need to be filled in.

Terms of Use

Effective: 20 October 2026

These Terms of Use ("Terms") are a binding agreement between you and Jai Balaji Wholesale Marketing, a partnership firm trading as Siridhaniya, with its registered office at 6-8-111/A, Rajendra Nagar, Kattedhan, Hyderabad, Rangareddy, Telangana - 500077 ("Siridhaniya", "we", "us", "our"). They apply to the Siridhaniya Android app and the website siridhaniya.com (together, the "Platform").

By creating an account, submitting your business documents or placing an order, you accept these Terms together with our Privacy Policy, Refund, Returns & Cancellation Policy and Shipping & Delivery Policy, which form part of them. If you do not accept them, please do not use the Platform.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not need a physical or digital signature.

1. Who may use the Platform

Siridhaniya is a business-to-business (B2B) wholesale platform. It is only for businesses that buy goods to resell or to use in their business — such as kirana and general stores, supermarkets, hotels, restaurants, caterers, offices and institutions. It is not for buying for personal or household use, and we may limit or close accounts that appear to be used that way.

You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. If you use the Platform for a business, you confirm that you are authorised to act for it, and "you" includes that business.

We currently deliver in and around Hyderabad only. You can check whether we deliver to your shop by entering its pincode on the website or in the app.

2. Your account

  • You sign in with your mobile number and a one-time password (OTP) sent by SMS. Anyone who can receive your OTP can use your account, so keep your phone and SIM secure. Siridhaniya staff will never ask you for your OTP.
  • One account belongs to one business. Add each of your outlets as a separate shop with its own delivery address, and add the contact persons who may receive orders for each shop.
  • Keep your business name, shop details, addresses and contacts accurate and up to date.
  • You are responsible for all activity and orders on your account, including by the people you allow to use it.
  • Tell us straight away if you think someone else has used your account (see "Grievance officer and contact").

3. Business verification (KYC)

Wholesale prices, adding to cart and ordering are open only to verified businesses. To get verified, upload at least one valid business document — for example a GST registration certificate, FSSAI licence or registration, Udyam (MSME) certificate, shop & establishment registration, trade licence, PAN, or a photo of your shop.

  • Documents must be genuine, current and in the name of your business. Documents with an expiry date (such as an FSSAI licence) must be renewed to keep your verification.
  • We check documents ourselves and against official government records, and may ask for more documents or visit your shop.
  • We decide whether to approve, reject or withdraw verification. Until you are verified you can browse products, but prices are hidden and you cannot order.
  • False, altered or borrowed documents lead to immediate suspension and may be reported to the authorities.

4. Our role and the sellers

Siridhaniya runs the Platform, its warehouses and its delivery service. The goods on the Platform are sold by the seller named on the tax invoice as "Sold by". Some goods are sold by Siridhaniya itself; others by independent sellers, such as distributors and brands, whose stock we hold in our warehouses and deliver for them.

The contract of sale for each item is between you and its seller. The seller is responsible for the goods — including their quality, labelling, MRP, legal-metrology and food-safety compliance — and issues the tax invoice. Siridhaniya takes your order, delivers it, collects payment on the seller's behalf (except bank transfers you make directly to a seller's account), and handles your support requests, returns and refunds.

Where these Terms say "we" about delivery, payment collection, returns or refunds, we act for the seller as well as for ourselves.

5. Products and listings

  • Product names, descriptions, pack sizes, MRP and images come from the seller or the manufacturer. Images are for illustration; packaging and design may change without notice.
  • Products are sold in the selling units shown — pieces or cases — and some have a minimum order quantity, ordered in multiples of it.
  • Stock shown is indicative and may run out between the time you order and the time we pack.
  • Manufacturing and expiry dates are printed on each pack. Please check them at delivery (see the Refund, Returns & Cancellation Policy).

6. Prices and offers

  • Prices are in Indian Rupees and include GST unless stated otherwise. The MRP printed on a pack is the maximum retail price, not your purchase price.
  • The price that applies is the price when you place the order. If a price or your cart changes before you place the order, you are asked to review the updated cart first.
  • Prices may change at any time before you order. If an item is listed at an obviously wrong price, we or the seller may cancel that item — even after you have ordered — and refund anything paid for it.
  • Offers, schemes and discounts are open only while they run, to eligible buyers, and on the conditions shown with them. We may change or end an offer at any time; orders already placed keep the offer that applied when they were placed.

7. Placing an order

  • Each delivery area has a minimum order value (and in some areas a minimum weight), shown in your cart before you order.
  • Placing an order is your offer to buy. It is accepted when the order is confirmed in the app or on the website.
  • If an item runs short, we may deliver the rest of the order; you pay only for what is delivered.
  • We or the seller may decline or cancel an order, fully or partly — for example if stock is not available, a price is wrong, the shop is outside our delivery areas, your verification has lapsed, an online or bank-transfer payment is not completed in time, you have overdue dues, or we suspect fraud or misuse. Anything you paid for cancelled items is refunded.
  • How to cancel an order yourself is explained in the Refund, Returns & Cancellation Policy.

8. Delivery

Delivery is covered in detail in our Shipping & Delivery Policy. In short:

  • We deliver to the shop address selected on the order, with our own delivery staff and vehicles.
  • Each area has its delivery days and an order cut-off time. The expected delivery date is shown when you order; it is an estimate, not a guarantee.
  • A delivery charge may apply depending on your area and order value; any charge is shown before you place the order.
  • Someone must be at the shop to receive and check the goods. A person at your shop who accepts the delivery is treated as authorised by you.
  • Risk in the goods passes to you when they are delivered. Ownership passes to you when they have been paid for in full.

9. Payment

The payment methods open to you are shown at checkout and can differ from buyer to buyer:

  • Pay on delivery: pay our delivery staff for the goods you accept, in cash or by the other methods accepted at delivery (such as UPI, bank transfer or cheque). Keep the receipt or payment reference for every payment.
  • Online: pay through our payment partner by UPI, card, net banking or the other methods offered. We never see or store your full card number, CVV, UPI PIN or banking password. An online order that is not paid within the time shown at checkout is cancelled automatically.
  • Bank transfer (where offered): pay by NEFT, RTGS or IMPS to the account shown for the order. If the transfer is not received and confirmed within the time shown, the order may be cancelled.
  • Credit: only for buyers we have approved for it — see section 10.

If a cheque is dishonoured or a payment is reversed or charged back, the amount becomes payable at once; we may pause your ordering and recover any bank charges.

10. Credit

  • Credit is offered at our discretion to verified buyers, with a credit limit and a number of credit days that we set and may change, pause or withdraw at any time.
  • Each credit order must be paid by the due date shown for it in your account.
  • Credit cannot be used for an order if your outstanding balance plus that order would exceed your limit.
  • Overdue amounts carry interest at 24% per annum (2% per month), from the due date until they are paid in full.
  • If any amount is overdue, we may also pause credit and new orders, set off any refund, credit note or Coins against what you owe, and take lawful steps to recover it.
  • Your dues and statements are available in your account. Tell us promptly if you disagree with any entry.

11. Invoices and taxes

  • The seller issues a GST tax invoice for every delivered order. If you have given a GSTIN, it is printed on the invoice so you can claim input tax credit. You are responsible for giving the correct GSTIN and business details; an invoice cannot always be re-issued later.
  • Goods returned, or cancelled after they were packed, are adjusted by a credit note.
  • Any tax collected or deducted at source under applicable law is shown on the invoice or your statement.

12. Siridhaniya Coins

From time to time we may run a rewards programme in which you earn Siridhaniya Coins ("Coins") — for example through schemes, purchase targets or prepayment offers. While it runs:

  • Coins can be used towards the payment of future orders, at the value and within the limits shown in the app. They have no cash value, cannot be withdrawn, sold or transferred, and are not a deposit.
  • Coins are held per shop. They become usable after the order that earned them is delivered and the waiting time shown in your Coins wallet has passed, and they expire on the date shown there.
  • Coins used on an order that is cancelled are returned to your wallet.
  • Coins earned on goods that are returned or cancelled are reversed. If they were already used, your balance may become negative and is recovered from future Coins or added to your dues.
  • Coins are applied as a payment towards the invoice amount; they do not change the invoice value or the GST on it.
  • We may change or end the programme with notice in the app, and may cancel Coins given by mistake or obtained through fraud or misuse.

13. Cancellations, returns and refunds

Cancellations, returns and refunds are governed by our Refund, Returns & Cancellation Policy, which forms part of these Terms.

14. Messages from us

We contact you by SMS, app notification, phone call, WhatsApp or email about your account, verification, orders, deliveries, payments and dues. These service messages are part of using the Platform. We may also send you offers; you can ask us to stop offer messages at any time.

15. Acceptable use

  • Do not share, rent or sell access to your account, or open several accounts to misuse offers, Coins or credit.
  • Do not copy, scrape or collect prices, content or data from the Platform by automated means.
  • Do not interfere with the Platform's security or operation, or try to access other users' data.
  • Do not use the Platform for anything unlawful, or to buy goods for unlawful sale.

16. Intellectual property

The Siridhaniya name, logo, app, website and their content belong to us or our licensors. Product brand names and trademarks belong to their owners. You may use them only to buy on the Platform.

17. Disclaimers

We work to keep the Platform available and accurate, but it is provided "as is" and we do not promise that it will always be uninterrupted or error-free. Product information is provided by sellers and manufacturers. Apart from what the seller or manufacturer offers and what the law requires, no warranty is given about the goods.

18. Limitation of liability

To the extent the law allows, neither we nor the sellers are liable for indirect or consequential losses, such as loss of profit, business or goodwill. Our total liability for any claim about an order is limited to the amount you paid for the goods in that order to which the claim relates.

Nothing in these Terms limits liability that cannot be limited by law.

19. Indemnity

You agree to make good any claims, losses, penalties and costs that we or a seller suffer because of your breach of these Terms, false information or documents you gave, unpaid dues, or your misuse of the Platform.

20. Suspension and closure

We may suspend or close an account, or stop it from ordering, if it breaches these Terms, gives false information or documents, has overdue dues, or is misused. You may ask us to close your account at any time (see the Delete your account page). Amounts you owe remain payable, and we keep the records the law requires.

21. Events outside our control

We are not responsible for delays or failures caused by events beyond our reasonable control — such as natural disasters, extreme weather, epidemics, government orders, strikes, riots, road closures, fire, or failures of power, networks or third-party services. We will try to keep you informed and to resume service as soon as possible.

22. Changes to these Terms

We may update these Terms from time to time. The new version applies from the effective date shown at the top. We will tell you about significant changes in the app or on the website. Using the Platform after a change means you accept it.

23. Governing law and disputes

These Terms are governed by the laws of India. Please raise any dispute first with our grievance officer so we can try to settle it.

Subject to that, the courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute arising from these Terms or your use of the Platform.

24. General

  • If any part of these Terms is found unenforceable, the rest remains in force.
  • Not enforcing a right straight away does not waive it.
  • You may not transfer your account or these Terms to anyone else. We may transfer them to a successor of our business.
  • These Terms, with the policies they refer to, are the whole agreement between you and us about the Platform.
  • Notices to us must be sent to the grievance officer at ayush@siridhaniya.com or by post to our registered office.
